BUSINESS-TO-BUSINESS SUSTENABILITY LEGAL CLAUSE
As part of a professional Business-to-Business (B2B) relationship, the Client acknowledges that timely payment of agreed fees is essential to ensure the continuity of services and the sustainability of both parties' operations. By entering into this agreement, the Client accepts that their obligation to pay for services rendered is not only contractual but also fundamental to maintaining a reliable and sustainable business relationship.
Non-payment disrupts service continuity and affects the operational integrity of Mi2Design Agency, which in turn impacts the Client’s own business outcomes.
This Mutual Business Sustainability clause reinforces the idea that paying for services on time isn't just a legal requirement — it's a professional responsibility that helps both businesses function properly!
SERVICE CONTINUITY SUSPENDED
Payment Obligations
The Client agrees to pay Mi2Design Agency the agreed-upon fees for web services and monthly maintenance in a timely manner, as stipulated in the service agreement or invoice. Monthly maintenance fees are due in advance on or before the 26st of each month.
Non-Payment and Suspension of Services
Failure to remit payment by the due date will result in the immediate suspension of services without further notice. This includes, but is not limited to, access to the website, maintenance services, updates, support, or any other deliverables associated with the service plan.
Reactivation of Services
Services will be automatically reactivated upon full receipt of the outstanding payment. Reactivation does not waive Mi2Design Agency’s right to pursue late fees, administrative charges, or any legal remedies related to delayed payment.
Late Payments and Fees
mi2Design reserves the right to charge a late fee of [10]% per month on any overdue balance. Continued non-payment beyond 30 days may result in permanent termination of services and referral to collections.
Client Responsibility
It is the Client’s responsibility to ensure payments are made on time to avoid any disruption of service. mi2Design shall not be held liable for any data loss, business interruption, or damages resulting from service suspension due to non-payment.
Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of England and Wales. Any dispute arising out of or in connection with these terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Statutory Demand - (Rights of Third Parties) Act 1999 allows third parties (such as the agency)
For debts over £750, a statutory demand can be issued, warning the client of potential bankruptcy proceedings if the debt is not paid within 21 days. This is a serious step and should be used when the agency believes the client is solvent but unwilling to pay.
